Terms and Conditions for Unikon

Welcome to Unikon, an online peer-to-peer SaaS marketplace operated by Unikon Innovations Private Limited ("Unikon," "we," "our," or "us"). By accessing or using any part of our platform, services, website, or mobile application (collectively referred to as "the Platform"), you ("User," "you," or "your") acknowledge and agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms in their entirety, you must immediately cease using the Platform and its services.

1. Acceptance of Terms

By choosing to access, use, or engage with the services offered on Unikon, you acknowledge and agree to abide by these Terms and Conditions ("Terms"). This agreement is legally binding between you (the "User") and Unikon Innovations Private Limited ("Unikon," "we," "our," or "us"). If you do not agree to these Terms, you must discontinue using our services immediately.

You formally accept these Terms by:

• Clicking "Accept" or "Agree" when prompted while signing up or using Unikon.ai's services.
• Using the services available on Unikon, which is considered as implicit acceptance of these Terms.
• If you do not understand any provision of these Terms, we encourage you to seek clarification before proceeding with the use of our platform.

2. Modifications to Terms

Unikon reserves the exclusive right to modify, update, or amend these Terms at any time, with or without prior notice, at our sole discretion.

2.1 Notification of Changes

• Any changes to these Terms will be posted on this page with an updated "Effective Date."

2.2 Your Responsibility to Stay Informed

• You are solely responsible for regularly reviewing these Terms to stay informed of any updates.
• Continued use of the Platform after modifications means you accept and agree to the revised Terms, even if you have not explicitly acknowledged them.
• If you do not agree with any changes, your only recourse is to discontinue using the Platform. You can inform us of this by emailing us at support@unikon.ai.

2.3 Relationship to Privacy Policy

• Our Privacy Policy governs how we collect, store, use, and disclose your personal data.
• Unless stated otherwise, the current version of the Privacy Policy applies to all data collected.
• Any updates to the Privacy Policy will be posted, and continued use of the Platform indicates your consent to the updated terms.

3. Registration and Account Security

To access certain features of Unikon, including booking services, offering services, and making payments, you may be required to create an account. By registering for an account, you confirm that:

• You provide accurate, up-to-date, and complete information during the registration process.
• You will promptly update your account details if any information changes.

3.1 Account Responsibility

• You are solely responsible for safeguarding your account credentials, including your username, password, and any authentication details.
• You must not share your password with any third party. If you suspect that someone else has gained access to your account, you must notify us immediately at support@unikon.ai.
• Unauthorised access or use of an account may lead to termination, suspension, or legal action against the unauthorised user without any prior notification.

3.2 Security of Communication Channels

• Unikon may contact you through email, SMS, or push notifications regarding your account and services.
• You are responsible for ensuring that your email and phone number remain private and secure. If these channels are compromised, Unikon is not liable for any unauthorised access to your account.

4. User Conduct

By using the Platform, you agree to only engage in activities that are lawful in your jurisdiction and in compliance with these Terms. You must not:

• Violate any local, state, national, or international laws.
• Use Unikon to facilitate, encourage, or engage in fraudulent, deceptive, or illegal activities.
• Use automated tools such as bots, scrapers, or crawlers to access the Platform for any purpose.

4.1 Prohibited Conduct

You must not:

• Harass, abuse, defame, intimidate, or harm others based on gender, race, religion, nationality, disability, or other protected attributes.
• Impersonate another person or misrepresent your identity.
• Use the Platform to send spam, phishing emails, or fraudulent messages.
• Post, upload, or distribute any obscene, pornographic, violent content, R-rated or disturbing content.
• Upload malware, viruses, or any malicious code that could harm the Platform or its users.

Violation of these rules may result in immediate termination of your account and potential legal consequences without any prior notification.

5. Fees and Payments

5.1 Platform Fees

• We retain a 20% platform fee on Unikon Work transactions to facilitate seamless operations.

5.2 Payment Methods and Processing

• All payments are securely processed through our third-party payment providers. Please refer to the Third-Party Transparency Clause in ourPrivacy Policy to read more about these payment providers.

5.3 Refund Policy

• Fees paid for completed services are non-refundable unless explicitly stated otherwise.
• Refund requests will be considered on a case-by-case basis and may be subject to additional processing time of 7-10 days.

6. Delivery of Services

All services provided by Unikon are online. No physical delivery will be carried out for any of the services purchased. You will receive an email confirmation upon purchasing a service with instructions on how to access it. Our team of experts will assist you in providing a hassle-free user experience. 7. Disclaimer of Warranties

Unikon provides its services on an "as is" and "as available" basis. We do not guarantee:

• Uninterrupted, error-free, or secure access to the Platform.
• That any services or interactions will meet your personal expectations or intended outcomes.

8. Limitation of Liability

Unikon shall not be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages arising from your use of any Services, even if advised of their possibility.

8.1 User Registration and Termination

• Unikon does not guarantee acceptance as a registered user or as a client by the Psychological Wellness Professionals on the platform.
• Unikon reserves the right to terminate your registration at any time without citing a reason.

8.2 Role of Unikon

• Unikon acts solely as a technology enabler, connecting users with Psychological Wellness Professionals.
• The quality of professional services depends on the information provided by the user. Unikon does not promise specific outcomes from counselling or therapy.
• Availability of the same Psychological Wellness Professional over time is not guaranteed.
• Once an appointment is booked, Unikon acts as an intermediary, transmitting booking details between the user and the Wellness Professional. Unikon will not be held liable for what happens on the calls between the user and the Wellness Professional. If there is anything to be reported, you can do so by reaching out to grievance@unikon.ai. However, we are not liable to take any action.

8.3 Verification and Credentials

• Unikon makes efforts to verify the credentials of Psychological Wellness Professionals.
• However, Unikon is not responsible for any misrepresentation or fraudulent claims by these professionals.
• Each Psychological Wellness Professional maintains a profile page where they provide their qualifications, experience, and specialties. The accuracy and reliability of this information are the sole responsibility of the professional and not Unikon.

8.4 Liability for Wellness Professionals

• Psychological Wellness Professionals have a contractual relationship with Unikon and are permitted to use the platform to provide Services.
• Unikon does not assume responsibility for their actions, advice, or information shared through the platform.
• Unikon shall not be held liable for any loss, damage, or liability caused by a Psychological Wellness Professional, directly or indirectly.
• Users are responsible for their decisions and actions, which are made independently of any representations by Unikon or the Wellness Professionals.

8.5 Professional Boundaries

• Unikon prohibits dual relationships between users and Psychological Wellness Professionals.
• Users are not permitted to form personal or professional relationships with their counsellors during or after counselling.
• This includes association on social and professional networking platforms such as Facebook, LinkedIn, and Twitter, ensuring a clear professional boundary should the user wish to resume counselling or refer others. Unikon will not be held liable for any breach of professional boundaries.

8.6 Maximum Liability

• In no case shall Unikon.ai, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, Service providers, or licensors be liable for any:
  • Lost profits, revenue, savings, or data
  • Replacement costs
  • Errors or omissions in any content
  • Any damages resulting from the use of the Services or content
• Liability applies whether claims are based on contract, tort (including negligence), strict liability, or otherwise.

9. Indemnification

The User agrees to fully release, indemnify, and hold Unikon, its authorised partners, officers, directors, agents, employees, and associated companies harmless from any expenses, losses, claims, demands, damages, or liabilities. This includes legal actions, penalties, and reasonable attorney fees incurred due to the User's breach of the Terms of Use, violation of laws or regulations, infringement of third-party rights (including intellectual property such as copyrights and trademarks), or any improper content posted online, such as obscene material or defamatory statements. This also applies to any unauthorised use of the User's account by a third party.

10. Governing Law

Applicable Laws and Jurisdiction

• These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
• These Terms are intended for Indian audiences only.
• Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurugram.

Legal Compliance and App Access

• The App is controlled by Unikon from its office in India.
• You agree that:
  1. Access to or use of the App and Services may be prohibited by law in certain jurisdictions. You are responsible for compliance with all applicable laws in your location.
  2. The courts in Gurugram shall have exclusive jurisdiction over any matter, claim, or dispute arising from this Agreement.
  3. This Agreement shall be governed by the internal substantive laws of India, without respect to conflict of laws principles.
  4. You agree to submit to the personal jurisdiction of courts in Gurugram for any legal actions, including but not limited to, intellectual property disputes.
  5. Notwithstanding the above, Unikon reserves the right to bring legal proceedings in any jurisdiction where a breach of this Agreement has originated.

Events Beyond Our Control

• Unikon shall not be held responsible for any delay or failure to comply with its obligations under this Agreement if caused by events beyond reasonable control.
• This condition does not affect your statutory rights.

Entire Agreement and Severability

• This Agreement, along with any amendments, policies, and additional agreements entered into with Unikon, constitutes the entire agreement between You and Unikon concerning the Service.
• If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the validity of the remaining provisions shall not be affected.

No Waiver

• No waiver of any term of this Agreement shall be considered a continuing waiver.

11. Termination

Unikon reserves the right to terminate your access to all or part of our services at any time without notice if you violate these Terms.

This User Agreement remains effective unless terminated by either you or Unikon. You may terminate this Agreement at any time by:

• Notifying us directly or, if accessing the platform through a third party, through the respective third-party platform, and
• Settling all outstanding payments and obligations.

If, in our sole judgment, you fail—or we suspect that you have failed—to comply with any term or provision of this Agreement, we may, at any time and without prior notice:

• Terminate your access to our Services,
• Deny future access to our platform, and/or
• Hold you liable for all outstanding amounts due up to and including the termination date.

Effects of Termination:

• Upon termination, your right to access and use our Services ceases immediately.
• Unikon may retain certain user data as required by applicable law, regulatory obligations, or for legitimate business purposes.
• Any provisions that, by their nature, should survive termination (e.g., limitation of liability, indemnification, dispute resolution) shall remain in effect.

Refunds and Outstanding Balances:

• Termination does not entitle you to a refund of any fees paid unless otherwise stated in our refund policy.
• You remain responsible for all fees incurred prior to termination.
